Terms of Service

These Terms apply globally. Regional addendums are included below:

Universal Terms - Applicable to All Users

1. Who we are

Greenio is operated by Clasio UK Ltd, a company registered in England and Wales (company number 14759860), trading as Greenio (“Greenio”, “we”, “our”, or “us”). Our registered office is in the United Kingdom.

By creating an account or using the Greenio platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.

2. Description of service

Greenio provides a software-as-a-service platform for greenhouse gas (GHG) emissions tracking, carbon accounting, and regulatory compliance reporting. The platform currently supports users across 17 countries spanning the United Kingdom, European Union, and India.

Supported frameworks and regulations include:

  • UK: Streamlined Energy and Carbon Reporting (SECR), UK Emissions Trading Scheme (UK ETS)
  • EU: Corporate Sustainability Reporting Directive (CSRD), EU Emissions Trading System (EU ETS), Carbon Border Adjustment Mechanism (CBAM), Voluntary SME ESG Standard (VSME)
  • India: Business Responsibility and Sustainability Report (BRSR), Carbon Credit Trading Scheme (CCTS), BEE Perform Achieve and Trade (PAT) Scheme
  • Global: GHG Protocol Corporate Standard, IPCC AR6 emission factors

Platform features include:

  • Scope 1, 2 and 3 emissions tracking and calculation
  • Regulatory report generation (BRSR, SECR, CSRD, CCTS MRV Report)
  • BEE PAT compliance dashboard
  • Supplier emissions data collection (Scope 3 Category 1)
  • Leadership Snapshot reports
  • Bulk data import, Tally integration, bill scanning
  • CA/Auditor review workflows
  • Enterprise API access
  • Elan AI sustainability consultant (where available)

3. Account registration

You must:

  • Provide accurate and complete registration information
  • Keep your password confidential and notify us immediately of any unauthorised access
  • Be at least 18 years old or the age of majority in your jurisdiction
  • Not share your account credentials with third parties

You are responsible for all activity that occurs under your account.

4. Free trial

Where offered, new accounts may receive a free trial of paid plan features. Trial availability, duration, and eligibility are determined at Greenio's discretion and will be communicated at the time of signup. No payment is required during the trial period. At the end of the trial:

  • If you have provided payment details, your account will automatically convert to the paid plan you selected at the billing rate shown at signup
  • If you have not provided payment details, your account will revert to the Free plan and paid features will be disabled
  • You may cancel before the trial ends at any time with no charge
  • Trial periods may not be combined and are available once per organisation

5. Subscription plans and billing

Greenio offers Free, Growth, Pro, and Enterprise plans. Paid plans are billed monthly or annually in advance. Prices are displayed in GBP (£) for UK accounts, EUR (€) for EU accounts, and INR (₹) for Indian accounts, inclusive of applicable taxes where required.

  • You may upgrade or downgrade your plan at any time; changes take effect at the next billing cycle
  • We reserve the right to change pricing with 30 days written notice to existing subscribers
  • Failed payments may result in suspension of paid features until resolved
  • Enterprise plans are subject to separate order forms where applicable

6. Cancellation policy

Monthly plans: You may cancel at any time. Your access continues until the end of the current paid month. No further charges will be made. No refund is issued for the remainder of the current month.

Annual plans: You may cancel at any time. Your access continues until the end of the annual period you have paid for. No refund is issued for unused months in the annual period unless Greenio is at fault (see Section 7).

How to cancel: Cancel directly from the Billing page in your dashboard, or email hello@greenio.co. Cancellation takes effect immediately and you will receive a confirmation email.

Data on cancellation: Your data remains accessible for 30 days after cancellation for export purposes. After 30 days, data is deleted subject to legal retention requirements set out in our Privacy Policy.

7. Refund policy

Our general policy is no refunds on paid subscription periods. Exceptions apply in the following circumstances:

  • Service unavailability: If Greenio experiences unplanned downtime exceeding 72 consecutive hours, affected customers on paid plans may request a pro-rata service credit for the affected period. Credits are applied to the next billing cycle and are not paid in cash.
  • Billing errors: If you have been charged incorrectly due to a Greenio error, we will issue a full refund of the incorrect amount within 14 days of the error being confirmed.
  • EU 14-day right of withdrawal: EU consumers have a statutory right to withdraw from a digital service contract within 14 days of purchase, unless the service has already commenced with your prior consent. See Addendum B for details.
  • Duplicate charges: If you have been charged twice for the same period, we will refund the duplicate charge within 7 days.

To request a refund, email hello@greenio.co with your account email, the charge in question, and the reason for your request. We will respond within 5 business days.

Chargebacks: We ask that you contact us before initiating a chargeback with your bank or card provider. Unresolved chargebacks may result in account suspension pending investigation.

8. Acceptable use

You agree not to:

  • Submit false or misleading emissions data with intent to manipulate carbon reports or regulatory filings
  • Attempt to reverse-engineer, decompile, or extract source code from the platform
  • Use the platform to store or transmit malicious code
  • Access or attempt to access other users' data
  • Use automated scripts to scrape or overload the platform
  • Resell or sublicense access to the platform without our written consent
  • Use the API beyond your plan's rate limits or for purposes outside the intended service

9. Your data

You retain ownership of all emissions data, organisation information, supplier data, and other content you submit to the platform (“Your Data”). You grant Greenio a limited licence to process Your Data solely for the purpose of providing the Service.

You are responsible for the accuracy and completeness of Your Data. Greenio calculates CO2e figures based on the inputs you provide; we are not liable for inaccuracies arising from incorrect input data.

You may export Your Data at any time in CSV or PDF format. Upon account closure, we will make Your Data available for export for 30 days, after which it will be deleted subject to legal retention requirements (see our Privacy Policy).

10. Supplier data

Where you use the Supplier Emissions feature, you may invite third-party suppliers to submit emissions data via a tokenised public link. By using this feature, you confirm that:

  • You have a legitimate business reason to collect emissions data from each supplier
  • You will not use supplier-submitted data for purposes other than your own Scope 3 reporting
  • You accept responsibility for notifying suppliers how their data will be used, in accordance with applicable data protection law

Greenio acts as a data processor in respect of supplier data submitted through the platform. Supplier data is stored securely and accessible only to your organisation.

11. Emission factor accuracy

Greenio uses published emission factors from authoritative sources including DEFRA (UK), Central Electricity Authority / IEA (India), BEE (India), Eurostat (EU), and IPCC AR6 (global). These factors are updated periodically as new national guidance is published.

Calculated CO2e figures are estimates based on these published factors and are provided for informational and reporting purposes. They do not constitute a formal audit or third-party verification. For regulatory submissions (BRSR, CCTS, SECR, CSRD), you remain responsible for ensuring data accuracy and obtaining any required independent verification.

12. Enterprise and API terms

Enterprise plan users and API key holders are subject to the following additional terms:

  • API keys are non-transferable and must be kept confidential
  • API usage is subject to rate limits specified in your plan; excessive use may result in throttling or suspension
  • Multi-entity and multi-site features are available exclusively to Enterprise plan subscribers
  • CA/Auditor access is granted by the account holder and remains their responsibility
  • Enterprise customers may request a Data Processing Agreement (DPA) by contacting hello@greenio.co

13. Intellectual property

The Greenio platform, including its software, design, methodology, emission factor databases, and documentation, is owned by Greenio and protected by copyright and other intellectual property laws. These Terms do not grant you any ownership rights in the platform.

The Greenio name, logo, and associated marks are trademarks of Greenio. You may not use them without prior written permission.

14. Limitation of liability

To the maximum extent permitted by applicable law, Greenio's total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to Greenio in the 12 months preceding the claim.

Greenio is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

15. Disclaimer of warranties

The Service is provided “as is” and “as available”. Greenio makes no warranty that the Service will be uninterrupted, error-free, or free of security vulnerabilities. We do not warrant that emission calculations will satisfy any specific regulatory requirement without independent verification.

16. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to use the Service ceases. Sections 9 (Your Data export window), 13 (IP), 14 (Liability), and 17 (Governing law) survive termination.

17. Governing law and disputes

These Terms are governed by the laws of England and Wales. Greenio is operated by Clasio UK Ltd, incorporated in England and Wales (company number 14759860). These Terms are entered into under English law regardless of where you are located.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this clause limits any statutory rights you may have under the law of your own jurisdiction that cannot be excluded by contract.

18. Changes to these terms

We may update these Terms from time to time. Where changes are material, we will notify you by email or in-platform notice at least 14 days before the change takes effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

Regional Addendums

The following addendums supplement the Universal Terms above. Where there is a conflict between a regional addendum and the Universal Terms, the addendum takes precedence for users in that region.

Addendum A

UK Users

Applies to users based in the United Kingdom accessing the Service for UK regulatory compliance purposes including SECR and UK ETS.

Consumer rights

If you are a consumer (not acting in the course of business), nothing in these Terms affects your statutory rights under UK consumer protection law, including the Consumer Rights Act 2015.

SECR compliance

Greenio's SECR report output is prepared based on the data you provide and DEFRA's published GHG conversion factors. You remain responsible for ensuring your SECR disclosure meets the requirements of the Companies Act 2006 (Strategic Report and Directors' Report) Regulations and any guidance published by BEIS/DESNZ. Greenio's output does not constitute a formal energy audit or assurance.

UK ETS

Where you use UK ETS features, you remain solely responsible for your surrender obligations, compliance with DESNZ requirements, and engagement with your regulator. Greenio provides tracking and calculation tools only.

Pricing and VAT

Prices for UK users are displayed in GBP (£) and are subject to VAT where applicable. Greenio is VAT registered (Clasio UK Ltd). Your invoice will reflect applicable VAT.

Addendum B

EU Users

Applies to users based in European Union member states, including Germany, France, Italy, Netherlands, Sweden, Portugal, Estonia, Lithuania, Ireland, Austria, Belgium, Spain, Poland, Denmark, and Latvia, accessing the Service for EU regulatory compliance purposes including CSRD, EU ETS, CBAM, and VSME.

CSRD compliance

Greenio's CSRD reporting tools are designed to assist with ESRS E1 (Climate Change) disclosures. You remain responsible for ensuring your sustainability statement meets the full requirements of the Corporate Sustainability Reporting Directive and applicable ESRS standards. Greenio's output does not constitute third-party assurance as required under CSRD for large undertakings.

Right of withdrawal

As an EU consumer, you have the right to withdraw from a digital service contract within 14 days of purchase without giving any reason. To exercise this right, email hello@greenio.co within 14 days of your purchase stating your intention to withdraw. This right does not apply once the digital service has been fully performed with your prior express consent and acknowledgement that you lose the right of withdrawal. Monthly subscription renewals do not restart the withdrawal period.

Data Processing Agreement

EU users subject to GDPR may request a Data Processing Agreement (DPA) by contacting hello@greenio.co. The DPA governs the processing of personal data in accordance with Article 28 GDPR.

EU ETS and CBAM

Where you use EU ETS or CBAM tracking features, you remain solely responsible for your compliance obligations under Regulation (EU) 2003/87/EC and Regulation (EU) 2023/956. Greenio provides calculation and tracking tools only and does not act as your regulated verifier.

Pricing and VAT

Prices for EU users are displayed in EUR (€). Where local VAT or digital services tax applies in your member state, this will be reflected on your invoice.

Addendum C

India Users

Applies to users based in India accessing the Service for Indian regulatory compliance purposes including BRSR, CCTS, and BEE PAT Scheme.

BRSR compliance

Greenio's BRSR report output is prepared based on the data you provide in accordance with SEBI's BRSR framework (circular SEBI/HO/CFD/CMD-2/P/CIR/2021/562 and subsequent amendments). You remain responsible for ensuring your BRSR filing meets SEBI requirements. For BRSR Core (top 250 listed companies), independent assurance is required from a SEBI-registered provider and Greenio's output does not substitute for this.

CCTS compliance

Greenio's CCTS MRV Report is prepared for submission to an Accredited Carbon Verification Agency (ACVA) under the Carbon Credit Trading Scheme, 2023 (MoP S.O. 2825(E)). You remain responsible for the accuracy of all data submitted and for engaging a BEE-accredited ACVA for formal verification. Greenio does not perform independent verification unless separately commissioned.

BEE PAT Scheme

Where you use the BEE PAT dashboard, you remain responsible for compliance with the Energy Conservation Act 2001 (as amended 2022) and BEE's designated consumer obligations. Greenio provides SEC calculation and ESCerts position tracking tools only.

Pricing and taxes

Prices for Indian users are displayed in INR (Rs). GST will be applied where applicable in accordance with Indian tax law. Your invoice will reflect applicable GST.

Governing law note

These Terms are governed by English law as stated in Section 17. However, nothing in these Terms excludes any mandatory statutory protections available to you under Indian law that cannot be waived by contract, including protections under the Consumer Protection Act 2019.
